Terms of Service
These Terms of Service ("Terms") form a legally binding agreement between you and Studio 49 Labs Inc. governing your access to and use of our platform, services, APIs, and associated software (collectively, the "Services"). By accessing the Services, you agree to these Terms. If you do not agree, you must not use our Services.
Eligibility You must be at least 18 years of age and capable of entering a legally binding contract. If using the Services on behalf of a business or organisation, you represent that you have authority to bind that entity to these Terms.
Acceptable Use You agree to use the Services only for lawful purposes. You must not violate any applicable law; transmit harmful, fraudulent, or defamatory content; reverse engineer any part of the Services; access the Services through automated means that exceed authorised rate limits; misrepresent your identity or purpose; or resell or transfer access without our prior written consent. We reserve the right to suspend or terminate access for violations.
Intellectual Property All content, software, and trademarks associated with the Services are the property of Studio 49 Labs Inc. or its licensors. You receive a limited, non-exclusive, non-transferable licence to use the Services for their intended purpose. You retain ownership of any data or content you submit. By submitting content, you grant Studio 49 Labs Inc. a limited licence to process and store it solely to deliver the Services.
User Data Responsibilities You are responsible for ensuring any data you provide or process through our Services complies with applicable privacy laws, including obtaining necessary consents. You must not submit data you have no legal right to process, use the Services to collect sensitive personal data beyond what is necessary, or circumvent data handling limitations specified in your service agreement. Studio 49 Labs Inc. acts as a data processor for data you supply; you act as the data controller.
Limitation of Liability To the maximum extent permitted by law, Studio 49 Labs Inc. is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services. Our total cumulative liability for any claim shall not exceed the amount paid by you to Studio 49 Labs Inc. in the 12 months preceding the claim. The Services are provided "as is" without warranties of any kind.
Termination Either party may terminate the service relationship with reasonable notice. Studio 49 Labs Inc. may immediately suspend or terminate access for material breach of these Terms, non-payment, or activity that poses a security or legal risk. Upon termination, your right to use the Services ceases immediately. Provisions relating to intellectual property, liability, and governing law survive termination.
Governing Law These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada. Disputes will first be addressed through good-faith negotiation. If unresolved within 30 days, they will proceed to binding arbitration in Vancouver, British Columbia, unless either party seeks urgent injunctive relief through a court of competent jurisdiction.
Changes to These Terms We reserve the right to update these Terms at any time. Continued use of the Services after changes take effect constitutes acceptance. We will provide at least 14 days' notice of material changes via email or platform notification.
